Terms of Service

These Terms of Service ("Terms") govern your access to and use of Processia, a software platform operated by Metodia ApS, a company registered in Denmark ("Processia", "we", "us", or "our"). By accessing or using Processia, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the platform.

1. Acceptance of Terms

By creating an account or using Processia, you agree to comply with and be legally bound by these Terms, our Privacy Policy, Cookie Policy, Refund Policy, and Acceptable Use Policy.

We may update these Terms from time to time. If we make material changes, we will notify registered users by email or through the platform. Continued use of Processia after such changes constitutes your acceptance of the updated Terms.

2. Description of the Service

Processia is a visual programming platform for generating images and design content using artificial intelligence.

The platform may include features such as:

  • Visual workflow creation
  • AI image generation
  • Project storage and organization
  • Export of generated content
  • Collaboration and sharing tools
  • Template libraries

We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. User Accounts

To use certain features of Processia, you must create an account and provide accurate and complete information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Promptly notifying us of any unauthorized use

We may suspend or terminate accounts that provide false information or violate these Terms.

4. Intellectual Property

Your Content

You retain ownership of the prompts, workflows, images, and other content you create using Processia, subject to the terms and conditions of any third-party AI providers used by the platform, including OpenAI.

Platform Ownership

Processia, including its software, interface, design, trademarks, and content, is the exclusive property of Metodia ApS and is protected by intellectual property laws.

Aggregated Data

We may use anonymized and aggregated usage data to improve the platform and develop new features.

5. Subscription Plans and Payments

Processia offers both free and paid subscription plans. Payments are processed securely through Stripe.

By subscribing to a paid plan, you agree that:

  • Subscriptions renew automatically unless canceled before the renewal date
  • Prices are listed in Euro and may change with at least 30 days' notice
  • Unused image credits do not roll over unless explicitly stated otherwise
  • Downgrades take effect at the end of the current billing cycle
  • You are responsible for any applicable taxes, including VAT

6. Third-Party Services

Processia relies on third-party providers, including but not limited to:

  • OpenAI
  • Stripe
  • Vercel

We are not responsible for outages, limitations, or changes in these third-party services.

7. Disclaimer of Warranties

Processia is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

We do not guarantee that:

  • The service will be uninterrupted or error-free
  • Generated outputs will be accurate, lawful, or suitable for your purposes
  • Data will never be lost

8. Limitation of Liability

To the fullest extent permitted by law, Metodia ApS shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities arising from your use of Processia.

9. Termination

You may cancel your account at any time through your account settings.

We may suspend or terminate your access immediately if you violate these Terms or our Acceptable Use Policy.

In cases of serious violations, no refunds will be provided.

10. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including internet outages, cyberattacks, governmental actions, natural disasters, or failures of third-party providers.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Denmark.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.
